CyBERG Corp. Plc. has signed an agreement with an investment fund (the “Investor”) represented by US investment firm Yorkville Advisors Global LP (“Yorkville Advisors”) for a financing via convertible notes of up to HUF 1.2 Billion.
Ludwig & Co. acted as exclusive financial advisor for CyBERG.

About the Deal
Upon completion of the related legal work, the Investor will subscribe to newly issued convertible notes and may become a new shareholder in CyBERG Corp, Plc. through the conversion of the subscribed notes.
With this, the Company expands the range of its financing opportunities, which will continue to serve purposes related to acquisitions, expansion of development capacity and optimization of financing, as well as providing a serious opportunity to expand international, institutional investor relations.
Following the closing, a first tranche of convertible notes with a nominal value of HUF 150 million will be issued.
The HUF 1.2 billion funding facility with a commitment period of 36 months granted by the Investor may be used by CyBERG at the management’s discretion. In the event of a conversion of the notes, the capital of the company will be increased in such a way that the relevant notes will be converted and replaced by new ordinary shares belonging to the current series. If the notes are actually held until maturity, the Investor will not acquire a stake in CyBERG Corp. Plc. and no capital increase will take place.
